Terms of Service

These Terms of Service ("Terms") govern all services provided by Shoutbox Solutions LLC ("Shoutbox," "we," "us"). By paying a Shoutbox payment link, signing an order, or using our services, you ("Client," "you") agree to these Terms.

1. Our Services

Shoutbox designs and builds AI agent systems for businesses, including lead generation, prospecting, cold email outreach, follow-up, and administrative automation bots ("Services"). The specific scope, deliverables, price, payment schedule, timeline, and any guarantee for your project are described in your order, which may be a payment link description, proposal, or order form ("Order").

2. Orders and Precedence

Each Order is governed by these Terms. If an Order conflicts with these Terms on scope, price, schedule, or guarantee, the Order controls. These Terms control everything else.

3. Fees and Payment

Fees and milestone payments are stated in your Order. By paying a Shoutbox payment link, you authorize us to securely save your payment method and charge later milestone payments to it when each milestone is reached, as described in your Order. If a payment fails or is late, we may pause work until it is resolved. Fees do not include third-party costs (see Section 5).

4. Client Responsibilities

You agree to provide timely access to accounts, information, and approvals we reasonably need. Delays caused by missing access, information, or approvals extend project timelines and any guarantee period by the same amount of time.

5. Third-Party Tools

Our systems run on third-party platforms, which may include AI platforms, email sending tools, domains, CRMs, and data providers. You are responsible for your own accounts and subscription costs for these tools unless your Order says otherwise. We are not responsible for third-party outages, pricing changes, policy changes, or account suspensions.

6. Intellectual Property

Shoutbox keeps full ownership of its bot templates, prompts, skills, workflows, playbooks, processes, know-how, and any reusable materials, including improvements made during your project ("Shoutbox Materials"), and may reuse them for other clients. You keep ownership of your data, branding, and business-specific content. We grant you a non-exclusive, non-transferable license to use the system we deliver for your own internal business. You may not resell, copy, or redistribute Shoutbox Materials.

7. Confidentiality

Each party will keep the other party's non-public business information confidential and use it only to perform or receive the Services. This includes your business information and our methods and materials. This obligation continues after the project ends.

8. Compliance and Acceptable Use

You are responsible for the lawful use of the systems we build, including compliance with CAN-SPAM and other email, privacy, and outreach laws, and for the content and audiences you approve. We follow sending best practices, but email deliverability and inbox placement are not guaranteed.

9. AI Output

AI systems can produce inaccurate or unexpected output. You are responsible for reviewing outputs that matter to your business before relying on them.

10. Results and Guarantees

We do not guarantee specific revenue, leads, sales, or meetings, except for any guarantee expressly written in your Order. Any such guarantee applies only under its stated conditions, including that you provide timely access and approvals, keep required tools and subscriptions active, and allow the agreed sending volume. If a guarantee is not met under those conditions, our sole obligation is the remedy stated in your Order, such as continued work at no additional charge.

11. Refunds and Cancellation

Payments are non-refundable once work on that milestone has begun, except as stated in your Order. Either party may end an engagement with written notice. You remain responsible for payment for work completed through the end date.

12. Disclaimer of Warranties

Except as stated in your Order, the Services are provided "as is" without warranties of any kind, express or implied.

13. Limitation of Liability

To the extent allowed by law, Shoutbox's total liability for any claim related to the Services is limited to the fees you paid in the three months before the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data.

14. Independent Contractor

Shoutbox is an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship.

15. Governing Law

These Terms are governed by the laws of the State of Texas. Any dispute will be handled in the state or federal courts located in Fort Bend County, Texas.

16. Changes to These Terms

We may update these Terms from time to time. Updates apply to Orders placed after the "Last updated" date.
